The specific scope, deliverables, timelines, and fees for each engagement are defined in individual service agreements or proposals provided to the client.

3. Client Obligations

When engaging our services, clients agree to:

• Provide accurate, complete, and timely information necessary for service delivery
• Designate authorized points of contact for project communications
• Review and provide feedback on deliverables within agreed timelines
• Make payments in accordance with the agreed schedule and terms
• Comply with all applicable laws and regulations in connection with the services

4. Intellectual Property

Unless otherwise specified in a separate written agreement:

• All deliverables created specifically for the client become the client's property upon full payment
• Nebloom Tech Solutions retains ownership of pre-existing intellectual property, tools, frameworks, and methodologies
• We reserve the right to use general knowledge, skills, and experience gained during engagements for future work
• The Nebloom Tech Solutions name, logo, and branding remain our exclusive property

5. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. Confidential information includes business strategies, financial data, technical specifications, and any information explicitly designated as confidential. This obligation survives the termination of any service agreement.

6. Payment Terms

Payment terms are specified in individual service agreements. General terms include:

• Invoices are due within the period specified in the service agreement
• Late payments may incur additional fees as outlined in the service agreement
• We reserve the right to suspend services for overdue accounts
• All fees are exclusive of applicable taxes unless stated otherwise

7. Limitation of Liability

To the maximum extent permitted by law, Nebloom Tech Solutions shall not be liable for any indirect, incidental, consequential, or special damages arising from the use of our services, including but not limited to loss of profits, data, or business opportunities. Our total liability for any claim shall not exceed the amount paid by the client for the specific service giving rise to such claim.

8. Termination

Either party may terminate a service engagement by providing written notice as specified in the service agreement. Upon termination:

• The client is responsible for payment of all work completed up to the date of termination
• All deliverables completed to date will be transferred to the client upon full payment
• Confidentiality obligations survive termination

9. Website Use

Users of this website agree not to:

• Use the website in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to any part of the website
• Use automated systems to access the website without permission
• Reproduce, distribute, or modify website content without written consent

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Vietnam. Any disputes arising from these terms shall be resolved through good-faith negotiation, and if necessary, through the competent courts of Hanoi, Vietnam.
